MD&A (Management Discussion & Analysis) Workshop: Strategies for Effective Financial Reporting

The Management Discussion and Analysis (MD&A) Workshop is a two-day course (Online/In-Person) designed to equip US GAAP reporting entities with the skills and knowledge needed to effectively prepare and present MD&A in their financial statements. MD&A is a critical component of annual reports, quarterly reports, and registration statements filed with the SEC by companies with US-traded securities. As such, it is important for management to be able to present a comprehensive and transparent analysis of their company’s financial condition, results of operations, and liquidity, as well as identify any material trends or uncertainties that may impact their future performance.

This course provides a detailed overview of the SEC Regulation S-K requirements, as well as FR 36, FR 60, and FR 72. We will explore the Compliance and Disclosure Interpretations of MD&A and discuss best practices for the disclosure of financial information in compliance with SEC rules. Participants will gain an understanding of the specific disclosure requirements of MD&A, including analysis of unusual or infrequent events or transactions, liquidity, off-balance sheet arrangements, and critical accounting estimates and judgments.

In addition, this course will cover non-GAAP measures and their interaction with MD&A, as well as SEC comment letter trends and foreign private issuers. We will also touch on operating and financial reviews for IFRS reporting entities.
